LEGAL & POLICY
Terms and Conditions of Purchase
Ordering, payment, proofs, revisions, production, cancellations, sample packs and artwork rights.
EFFECTIVE DATE — [INSERT DATE]
1. About these terms
These terms apply to purchases made from PÂNE through panemirror.com, an invoice, payment link or another ordering channel we operate. “PÂNE”, “we”, “us” and “our” mean [INSERT LEGAL NAME], ABN [INSERT ABN], trading as PÂNE. “Customer”, “you” and “your” mean the person or organisation placing the order.
By submitting an order, approving a proof or making payment, you agree to these terms and any product-specific terms shown at checkout. Nothing here excludes, restricts or modifies any right or remedy that cannot lawfully be excluded under the Australian Consumer Law.
2. Orders and acceptance
An order is an offer to purchase. We may accept or decline it, including where information is incomplete, artwork cannot be reproduced, a price is incorrect, a product is unavailable, or the order may infringe another person’s rights or applicable law.
An order is not ready for production until we have received full cleared payment, all required artwork and instructions, and written approval of the final proof. We may request identity, payment or authority checks before accepting an order.
3. Prices, currency and payment
Orders delivered to Australia and New Zealand are charged in Australian dollars. Other international orders are charged in United States dollars, even where an approximate local-currency amount is displayed. Your bank or payment provider may apply its own conversion rate or international transaction fee.
Unless stated otherwise, prices include GST where legally required but exclude delivery, customs duties, import taxes and other destination charges, which are your responsibility.
Payments are processed by Stripe. We do not receive or store your complete payment-card number. Stripe may collect and process payment, transaction, device and fraud-prevention information under its own terms and privacy policy.
4. Custom quotes and custom orders
Standard quantities are displayed at checkout. Orders above 1,000 cards, and any product, finish, size or specification not shown on the website, are quoted individually. Submit a request through the website and we will respond with pricing, availability and an estimated timeframe.
A custom quote is valid for the period stated in it and is not confirmed until accepted in writing and paid for. Custom specifications may carry different timeframes, minimum quantities and cancellation terms, which will be set out in the quote.
5. Your information and supplied materials
You must provide complete and accurate contact, delivery, artwork and order information. You warrant that you have authority to place the order and hold all rights, licences and permissions necessary for us to use any logos, photographs, fonts, trademarks, QR codes, contact details or other materials you supply.
We may refuse or suspend work on material that appears unlawful, misleading, offensive or infringing.
6. Proofs and approval
You are responsible for checking every proof carefully before approving it, including spelling, grammar, names, phone numbers, email addresses, URLs, QR code destinations, colours, alignment, orientation and quantities.
Written approval is final. Once you approve a proof we may rely on that approval and begin production. Errors visible in an approved proof, and changes requested after approval, are your responsibility and may require a new order, an additional fee or a customer-funded reprint.
7. Revisions
Unless a product page or written quote says otherwise, each order includes up to three revision rounds. A round is one consolidated set of changes submitted at the same time. Additional rounds are charged at A$50 for AUD orders or US$35 for USD orders.
A revision does not include a change to the original brief, a new design direction, new artwork or a different product specification. We may quote separately for work outside the original scope.
8. Concept Studio
Concept Studio is our online design workflow. You may create and save drafts to your account. Saved designs are working drafts, not approved production files, and we may apply reasonable storage limits or remove inactive drafts after giving reasonable notice where practical.
Concept Studio is not a free design-export service. Before payment you may view or screenshot previews, but you cannot download an unwatermarked, high-resolution, production-ready or editable file. We may watermark previews and restrict export functions, and attempting to bypass these restrictions is prohibited.
We aim to provide a first reviewed mock-up within approximately 36 hours of receiving payment and all required information. This is an estimate and may be affected by workload, weekends, public holidays, incomplete materials or the complexity of the request.
You must not copy, scrape, reverse engineer, automate, resell or commercially exploit Concept Studio, its templates, its preview system or our concepts except as expressly permitted in writing.
9. Production and timeframes
Standard orders take approximately six weeks from the later of full payment and written approval of the final proof, plus shipping time.
Urgent production may be requested at checkout. A request is not a guarantee: it is subject to availability and our written confirmation, and where accepted an urgent production fee of [CONFIRM URGENT FEE — CURRENTLY A$120] applies. Where accepted, urgent production has an estimated seven-day production turnaround with shipping time additional.
All timeframes are estimates rather than guaranteed delivery dates. Supplier delays, material availability, public holidays, customs, carrier disruption, severe weather and other circumstances beyond our reasonable control may affect timing. Delivery is governed by the Shipping, Production and Delivery Policy.
10. Product characteristics
Mirror cards are physical printed products. Screen displays, lighting, printing methods and material batches all affect appearance. Colour variation of approximately 5% between a screen proof and the finished product is normal and is not by itself a defect.
PVC mirror cards may develop fine surface marks, scratches or signs of wear through handling and use. Minor characteristics inherent to the material or production process are not defects unless the product fails a consumer guarantee or materially departs from the approved specification.
11. Cancellations, refunds and reprints
Australian Consumer Law applies. This section does not exclude rights that cannot lawfully be excluded where goods are faulty, unsafe, not as described or otherwise fail a consumer guarantee.
Our products are made to your specifications, so we do not ordinarily provide a refund or exchange for change of mind, an incorrect selection, or an error contained in artwork or a proof you approved.
Before production commences: if we have completed mock-up or revision work, we may refund 50% of the amount paid and retain 50% for the design, administration and preparation already completed. If no design, mock-up, revision or production work has commenced, we will assess the request and may provide a greater refund, less non-refundable third-party costs.
After written approval and once production has commenced, an order cannot ordinarily be cancelled, refunded or amended for change of mind. Requested changes may require a new order and payment.
If the finished product matches the approved proof but contains an error you did not identify before approval, any reprint is at your expense. If the finished product materially differs from the approved proof or contains a manufacturing defect, we will provide an appropriate remedy at our expense in accordance with the Australian Consumer Law — a reprint, repair, replacement or refund depending on the circumstances.
To report a problem, contact hello@panemirror.com as soon as reasonably possible with your order number, a description, clear photographs or video and the quantity affected. Retain the product and packaging until we confirm whether they are needed. Do not return goods before we provide a return address. Returns address: [INSERT RETURNS ADDRESS OR “PROVIDED ON APPROVAL”]
12. Sample packs and credit codes
A sample pack contains six premade mirror-card examples showing a selection of gloss, matte, UV spot printing, gold, silver and rose-gold foil, NFC tap functionality and mirror print. The designs are examples only and cannot be customised to your branding. Exact designs, colours, finishes and combinations may differ from the photographs shown.
Where sample packs are offered for pre-order, the estimated availability or dispatch date is shown on the product page or confirmation email. Dates are estimates and may change.
Each pack purchased generates one credit code, equal to the sample-pack product price actually paid for that pack in the currency charged, excluding shipping, taxes, duties and transaction fees. Three packs generate three separate codes, not one combined balance.
- Each code can be redeemed once only.
- Only one code may be applied to a single eligible checkout.
- Codes cannot be combined, stacked, exchanged for cash or used to pay shipping.
- A code is valid for 12 months from the confirmation date unless a longer period is required by law or expressly provided by us.
- Once used, the code status becomes Redeemed and cannot be used again.
A code may be applied to the product component of your first eligible complete mirror-card order, subject to the checkout rules and minimum order requirements displayed at that time. It does not reserve production capacity or guarantee product availability. If a confirmation email or code is missing, contact us from the email address associated with the sample-pack order and we may verify the order before re-sending it.
13. Artwork, intellectual property and marketing use
You retain ownership of your original artwork, logos, images, branding, business information and digital files. You grant us a non-exclusive licence to access, copy, adapt and use those materials only as reasonably necessary to quote, design, prepare, manufacture, fulfil, support and keep records of your order.
We treat supplied digital artwork and business files as confidential and will not sell or distribute your original files. We may disclose files to production and technology providers only where reasonably necessary to complete the order, maintain systems, meet legal obligations or resolve an issue.
We retain ownership of our pre-existing materials, templates, systems, editing tools, processes, know-how, sample designs and reusable design elements. Creating or paying for an order does not transfer ownership of those underlying materials.
Ownership of the final PÂNE-created design: [CHOOSE: OWNERSHIP TRANSFERS AFTER FULL PAYMENT, OR CUSTOMER RECEIVES A LICENCE TO USE THE FINAL DESIGN FOR PÂNE ORDERS]. Until this position is confirmed, no statement may be published promising transfer of copyright in PÂNE-created design work.
By placing an order you permit us to photograph, film and display the finished physical cards produced for that order in our own organic marketing, including our website, portfolio, social media and email marketing, and to tag or credit your business where practical. You may opt out by notifying us in writing before production commences. We will not use your original digital files as downloadable assets or sell them, and any paid advertising use that materially features your brand will be separately approved in writing.
Where you submit a review, photographs or other content through our review link, you grant us a non-exclusive, royalty-free licence to publish and reproduce that content on our website, social media and marketing materials, alongside the business name, country and industry you supply. You warrant that you own or are licensed to use everything you submit, and you may ask us to remove it at any time by emailing hello@panemirror.com.
14. Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of opportunity or business interruption arising from an order. Where liability can lawfully be limited, our liability is limited to the remedies available under applicable law and, where permitted, supplying the goods or services again or paying the reasonable cost of doing so.
15. Governing law and contact
These terms are governed by the laws of Western Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of that state and applicable Commonwealth courts. Questions may be sent to hello@panemirror.com.
